We are seeking to hire a Senior Legal Counsel to be based in Santiago, Chile to support the Mining & Metals GBU.
Major Responsibilities:
The nature of our legal work tends to be:
- Front-end bidding and negotiating for high value contracts in the engineering,
construction & project management space. The contracts tend to be client‑produced bespoke forms (eg Technical Services Agreements / Study Agreements; and EPC / EPCM / PMC contracts).
- Review, preparation and negotiation of other contracts and related documents (including proposals,
subcontracts, joint venture agreements and confidentiality agreements).
- Ongoing support to projects under development, once contracts are won & signed.
- A mixed collection of other types of work that commonly come with in-house roles.
- Assisting the governance processes within the business, by supporting compliance with internal policies
associated with the above work.
The primary day-to-day interfaces for this role are directly with the business personnel: business development teams; project teams; executive teams. We are looking for candidates who are comfortable bringing an attitude to the role which supports getting things done, while still helping the teams keep within our governance & compliance requirements.
Education and Experience Requirements:
Requires a law degree and admission as a lawyer (preferably in Chile or elsewhere in Latin America, but other jurisdictions would be considered) and a minumun of 13-15 years of relevant experience.
Required Knowledge and Skills:
- Able to manage transactions, perform the legal work themselves and provide support to the business, knowing when to involve the Head of Legal for the GBU.
- The successful candidate will have well-honed advisory, negotiation and drafting skills, a high degree of business acumen, a strategic approach, maturity and the ability to work effectively with people at all levels within the company.
- Experience in project development in the integral resources industry. With particularly interested in experience working on projects located in Latin America, and identifying/managing the associated legal issues.
- Good language skills which are advanced enough to conduct meetings & negotiations,
and to draft contracts, in both English and Spanish.
- Previous in-house experience.
- Software proficiency (particularly Word, and some Excel & PowerPoint) is expected.
- All applicants must have the right to work and remain in Chile.
- Some travel is expected, typically as needed to run contract negotiations or to support projects under development. The extent of any required travel will depend on the location of prospects, negotiations and projects at any point in time, but the work for this role has typically been focussed on Chile and Peru.
