Discover the Role

We are seeking a highly qualified Bilingual Senior Lawyer with strong expertise in Corporate Law, Contracts, Corporate Governance and M&A; across Chile, Argentina, Uruguay and Paraguay. Litigation experience is considered a plus. This professional will provide legal advice to the company’s operations, ensuring contractual and corporate compliance, proper application of internal policies, and alignment with local legal requirements to mitigate risks.

Key Responsibilities:

- Act as the key legal counsel for Chile, with regional responsibility for Argentina, Uruguay and Paraguay, supporting local operations and business teams on a broad range of legal, contractual, corporate and regulatory matters.
- Lead the drafting, review, negotiation of service agreements, supplier agreements and business partner contracts, ensuring practical, risk-based and commercially aligned legal support across the assigned jurisdictions.
- Support corporate governance and statutory compliance matters, including drafting and reviewing of corporate acts, registrations, filings, board and shareholder documentation, and interactions with local authorities and registries across the assigned jurisdictions.
- Manage day-to-day legal advisory needs for Chile, Argentina, Uruguay and Paraguay, helping the business navigate local legal requirements, internal approval flows,



regulatory obligations and risk-control standards.
- Monitor and support the management of claims, litigation, regulatory matters and employment-related legal interfaces, coordinating with external counsel and regional legal leadership when required.
- Contribute to M&A;, corporate restructuring, due diligence, post-closing and other strategic initiatives involving South LATAM, ensuring legal consistency and alignment with regional priorities.
- Partner with local, regional and global stakeholders to provide clear, timely and business-oriented legal advice that mitigates risk while enabling efficient decision-making.
- Support HR, company secretarial and other internal teams on legal matters connected to labor, migration, corporate governance, governmental requests and internal legal processes.
- Promote legal quality, consistency and efficiency through updated trackers, organized documentation, continuous monitoring of legal developments and compliance with internal policies, data protection requirements, risk controls, the Code of Conduct and TMF Group values.
- Work autonomously in a fast‑paced regional environment, prioritizing matters according to urgency, legal risk, business impact and applicable deadlines, while providing guidance to immediate team colleagues when appropriate.

Key Requirements:

- Education: Law degree with specialization or postgraduate studies in Corporate, Contract, or Business Law.
- Experience: Minimum of 5 years in multinational companies or law firms focused on corporate, contracts,



and/or M&A.; Litigation experience is a plus.
- Languages: Fluent English and Spanish.

Technical Knowledge:

- Strong knowledge of Chilean corporate law, with working knowledge of Argentine, Uruguayan and Paraguayan.
- Solid experience in commercial contracts, corporate governance and compliance rules.
- Experience in litigation, particularly in labor and commercial matters is a plus.
- Working knowledge of labor matter sufficient to provide first-level support to HR.
- Strong business judgment, stakeholder-management skills and ability to translate legal requirements into practical, commercially aligned advice for local, regional and global teams.

- Manage workload effectively, prioritizing by urgency, legal risk, business impact and deadlines.
